1. Who we are and what these Terms cover
These Terms of Service ("Terms") govern your use of Gidsly ("we", "us", "our"), a career-companion service. Gidsly is a registered tradename of Van Kempen Ventures and Consultancy, an eenmanszaak (sole proprietorship under Dutch law) in the Netherlands. Registered address: Fort Abcoudestraat 12, 1384 AJ Weesp. KvK (Chamber of Commerce) number: 42055010.
If the business later incorporates as a BV, these Terms will be updated to reflect the new legal entity, and continued use of Gidsly will mean you accept the updated contracting party.
By creating an account or otherwise using Gidsly, you ("you", the "User") agree to these Terms. If you don't agree, don't use Gidsly.
Your data is handled per our separate Privacy Notice, which forms part of your relationship with us.
2. What Gidsly is (and what it is not)
Gidsly helps you manage a career transition by tracking applications, tailoring documents, practising interviews, and supporting the emotional side of job searching. It uses AI to generate suggestions.
Gidsly is not:
- a recruitment agency;
- a guarantee of a job or any particular outcome;
- qualified legal, financial, medical, or mental-health advice; or
- a substitute for professional career counselling or therapy.
AI-generated suggestions are suggestions. You are responsible for reviewing anything Gidsly produces before you send it to a human (employer, recruiter, reference) or act on it.
3. Eligibility
To use Gidsly you must:
- be at least 18 years old;
- have the legal capacity to enter into a contract;
- provide accurate information about yourself when signing up.
We may suspend or terminate an account that violates these requirements.
4. Your account
- You're responsible for keeping your login details confidential and for everything that happens under your account.
- If you suspect unauthorised access, tell us as soon as possible.
- One person, one account, unless we explicitly agree otherwise in writing.
5. Acceptable use
You agree not to:
- use Gidsly to harass, defame or impersonate anyone;
- upload content you don't have the right to use (including other people's personal data, without their knowledge);
- submit content that is illegal, hateful, sexually explicit, or otherwise unlawful in the Netherlands or the EU;
- attempt to reverse-engineer, disassemble, or circumvent the security of Gidsly;
- use Gidsly to build a competing service or to scrape its outputs in bulk;
- use Gidsly to generate fraudulent applications, fake identities, or misleading CVs.
Violations may result in account suspension or termination.
6. Your content
- You own your content. Your CV, your applications, your notes, your conversations, your contacts. That data belongs to you.
- You grant us a limited licence to process that content for the sole purpose of providing Gidsly to you: storing it, displaying it back to you, running AI on it to produce suggestions, and backing it up. This licence ends when you delete the content or close your account.
- We never sell your content or use it to train third-party AI models. When we send content to AI providers (listed in the Privacy Notice), it is for producing responses only, and those providers are contractually prohibited from using it for other purposes.
- You confirm that the content you upload doesn't infringe anyone else's rights (copyright, privacy, etc.) and doesn't include sensitive third-party data you aren't entitled to share.
7. Our content and AI output
- The Gidsly software, brand, design, and surrounding materials are our intellectual property. We grant you a personal, non-transferable, revocable licence to use Gidsly while you have an active account.
- AI-generated text that Gidsly produces for you, based on your input, is yours to use in your job search. It's a derivative of your content combined with our service.
- You may not claim the Gidsly software, or screenshots of it, as your own work.
8. Pricing and paid features
- During the Friendly User Trial phase, Gidsly is free to invited users.
- When paid plans are introduced, the prices, included features, and billing terms will be made clear before you subscribe, and you'll be asked to agree separately.
- We won't start charging you for something that was previously free without notice and a chance to opt out.
9. Service availability
- We do our best to keep Gidsly running well, but we can't guarantee 100% uptime.
- Gidsly may be unavailable for maintenance, upgrades, or due to issues with our sub-processors.
- For outages we aim for prompt communication and honest timelines.
10. Third-party services
Gidsly connects to third-party services (e.g. Anthropic for AI, Nylas for email/calendar, ElevenLabs for voice) listed in subprocessors.md. When you use those integrations you are also subject to the relevant third party's terms.
If a third-party service is unavailable, parts of Gidsly that depend on it may not work until it's restored.
11. Termination
- By you: you can close your account at any time from Account Settings → Delete account. We'll delete your personal data as described in the Privacy Notice.
- By us: we may suspend or terminate your account if you breach these Terms, if you use Gidsly in a way that creates legal risk, or if we have to stop offering the service. We'll give you reasonable notice and an explanation where possible.
- Termination doesn't affect rights and obligations that by their nature survive (e.g. §6 content licences for content you've already sent to us before termination, §13 liability limits, §14 governing law).
12. Disclaimers
Gidsly is provided "as is" and "as available", to the maximum extent permitted by law. We don't warrant that:
- the service will be uninterrupted or error-free;
- the AI output will be accurate, complete, or suitable for a specific employer;
- you'll get a job as a result of using Gidsly.
Nothing in this section limits any rights you have under mandatory Dutch or EU consumer law.
13. Limitation of liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising out of or relating to the Terms or your use of Gidsly is limited to the amount you paid us in the 12 months before the claim arose, or €100, whichever is greater.
- We are not liable for indirect, incidental, special, or consequential damages, including lost income, lost opportunities, or lost job offers.
- Nothing in these Terms limits liability for fraud, intentional misconduct, or anything else that cannot be limited under Dutch law.
14. Governing law and jurisdiction
These Terms are governed by Dutch law. Any disputes will be brought before the competent court in Amsterdam, the Netherlands, unless mandatory consumer-protection rules grant you a different right to your local court.
15. Changes to these Terms
We may update these Terms. Material changes are communicated in the app, and we may ask you to re-agree before you can keep using Gidsly. Continued use after an update means you accept the updated Terms. Every version is archived and we can tell you which version you agreed to on which date.
